Legal
These terms govern commercial cooperation between the Operator and business partners — in particular non-EU manufacturers whose goods BrilloBulido imports, distributes and sells in the European Union.
Cooperation begins with a sample order and paid wholesale purchases, scaling to container volumes as sales data confirms channel performance. Consignment and per-market exclusivity are available once volume is established. Each engagement is defined in a written agreement specifying products, pricing, territories and service levels.
Orders, lead times, Incoterms and payment terms are agreed per order in writing (e-mail suffices). The Operator earns a distribution margin built into the European end-price. Monthly sales statements are provided to the partner.
Goods carry the manufacturer's warranty; the Operator handles local warranty intake and RMA logistics in the EU. Commercial return and stock buy-back conditions are defined in the cooperation agreement.
The Operator is liable for proper performance of the services described in §2 and for damage caused intentionally or by gross negligence. Liability for indirect losses, lost profit and third-party claims is limited to the value of the goods in the affected order, unless mandatory law provides otherwise.
Price lists, margins, sales data, and technical documentation exchanged by the parties are confidential and may not be shared with third parties for 2 years after termination, except where required by law.
Product trademarks and designs remain the property of the manufacturer. The Operator uses them solely to market the partner's goods in the EU during the cooperation. BrilloBulido® name and brand assets remain the property of the Operator.
Personal data of contact persons is processed for contract performance and B2B communication on the basis of Art. 6(1)(b) and (f) GDPR. Rights and details: Privacy Notice. Contact: info@brillobulido.pl.
Cooperation is concluded for an indefinite period unless agreed otherwise. Either party may terminate with 30 days' written notice; rights already acquired and orders in progress remain binding.
These terms are a framework; individual agreements may modify them. The governing law is Polish law; the courts of Poland have jurisdiction, unless mandatory consumer or commercial rules provide otherwise. Changes to these terms do not affect rights acquired before the change.
